Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at lumacareusa.com (the "Site") and the Luma platform (the "Service") operated by Luma Care USA ("Luma," "we," "us," or "our"). By accessing the Site or using the Service, you agree to be bound by these Terms.
1. Eligibility
The Service is intended for use by licensed ABA therapy clinics and their authorized personnel. By using the Service, you represent that you have the authority to bind your organization to these Terms and that your use complies with all applicable laws and regulations, including HIPAA.
2. Account Registration
To access the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.
3. Use of the Service
We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your clinic's internal business purposes, subject to these Terms. You agree not to:
- Use the Service for any unlawful purpose or in violation of HIPAA or other applicable regulations.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Attempt to gain unauthorized access to the Service or its related systems.
- Share account credentials with unauthorized individuals.
- Use the Service to transmit malicious code or interfere with its operation.
4. Clinical Data and PHI
You retain all ownership of clinical data and Protected Health Information (PHI) that you input into the Service. We process this data solely to provide the Service and in accordance with our Business Associate Agreement (BAA). We do not use PHI for marketing, advertising, or any purpose unrelated to the Service.
5. AI-Generated Content
The Service uses artificial intelligence to generate authorization appeal letters, compliance reports, and clinical summaries. AI-generated content is provided as a tool to assist your clinical and administrative staff. You are responsible for reviewing, editing, and approving all AI-generated content before submission to payers or regulatory bodies. Luma does not guarantee that AI-generated content will result in favorable outcomes.
6. Fees and Payment
Access to the Service is subject to the fees outlined in your subscription agreement. We will notify you of any fee changes at least 30 days in advance. Failure to pay may result in suspension or termination of your access to the Service.
7. Availability and Support
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance. We provide support during business hours via email at hello@lumacareusa.com.
8. Intellectual Property
The Service, including its design, features, code, documentation, and branding, is the property of Luma Care USA and is protected by intellectual property laws. Nothing in these Terms grants you ownership of the Service or any intellectual property rights beyond the limited license described in Section 3.
9. Limitation of Liability
To the maximum extent permitted by law, Luma shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of revenue, denied insurance claims, or interrupted patient care. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold Luma harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.
11. Termination
Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, we will provide you with a reasonable period to export your data, after which it will be deleted in accordance with our data retention policy and your BAA.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date and providing notice via the Service or email. Continued use of the Service after changes constitutes acceptance of the updated Terms.
